1. Agreement to Terms

By accessing or using MyProBrief ("Service," "we," "us," or "our") at myprobrief.com, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

MyProBrief is a platform that allows users to create detailed project briefs and share them with contractors. Our Service includes:

• Project brief creation and management tools
• AI-powered question generation for project details
• Image upload and storage capabilities
• Shareable links for contractor access
• Account management features

3. User Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 Account Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Subscription and Payment Terms

4.1 Free Trial

New users receive one free project brief. The brief remains active for 14 days from creation, after which it will be automatically deleted unless upgraded to a permanent brief.

4.2 Paid Services

Users may purchase permanent access to project briefs. All fees are stated in U.S. dollars and are non-refundable except as required by law.

4.3 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge your payment method for the total amount of your purchase.

4.4 Refunds

All sales are final. We do not offer refunds for purchased permanent briefs except as required by applicable law.

5. User Content

5.1 Your Content

You retain all rights to the content you upload, submit, or create through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and providing the Service.

5.2 Content Restrictions

You agree not to upload, submit, or create User Content that:

• Is illegal, harmful, threatening, abusive, harassing, or defamatory
• Infringes on any patent, trademark, trade secret, copyright, or other proprietary rights
• Contains viruses, malware, or other harmful computer code
• Violates the privacy or publicity rights of any third party
• Contains false or misleading information

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, at our sole discretion, without prior notice.

6. Sharing Project Briefs

When you share a project brief link, anyone with that link can view the brief content, including all project details, budget information, timeline, and uploaded images. You are solely responsible for:

• Controlling who receives access to your brief links
• The security and confidentiality of your shared links
• Any consequences of sharing links with unauthorized parties

We recommend only sharing brief links with trusted contractors.

7. AI-Generated Content

Our Service uses artificial intelligence to generate suggested questions for your project briefs. While we strive for accuracy and relevance, AI-generated content may not always be perfect or suitable for your specific needs.

You acknowledge that AI-generated suggestions are provided as-is, and you are responsible for reviewing, editing, and verifying all content before sharing your brief with contractors.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by MyProBrief and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

9. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To collect or track personal information of others
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• To interfere with or circumvent the security features of the Service
• For any obscene or immoral purpose

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MYPROBRIEF MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION:

• That the Service will be uninterrupted, timely, secure, or error-free
• That the results obtained from using the Service will be accurate or reliable
• That the quality of any products, services, information, or other material obtained through the Service will meet your expectations
• That any errors in the Service will be corrected

11. Limitation of Liability

IN NO EVENT SHALL MYPROBRIEF, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

12. Indemnification

You agree to defend, indemnify, and hold harmless MyProBrief and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (1) your use of and access to the Service; (2) your violation of any term of these Terms; (3) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (4) any claim that your User Content caused damage to a third party.

13. Data Retention and Deletion

Free trial briefs are automatically deleted 14 days after creation unless upgraded to permanent status. When a brief is deleted, all associated data including project details, images, and answers are permanently removed from our systems.

If you delete your account, all of your briefs and associated data will be permanently deleted within 30 days, except where we are legally required to retain certain information.

14. Third-Party Services

Our Service integrates with third-party services including:

• Stripe for payment processing
• AWS S3 for file storage
• OpenAI for AI-powered features

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third parties.

15. Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

17. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

19. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
